Key Duties & Responsibilities:
Advise on the regulation and on-going legal and regulatory compliance of relevant Irish Fund structures.
Advise on the establishment, authorisation and ongoing regulation of any future fund structures.
Maintain fund documentation including prospectus, supplements and KIIDs, and update in line with relevant fund policy changes and/or legal and regulatory requirements.
Draft, review and negotiate relevant service provider agreements including Investment Management Agreements, Custodian Agreements and Administration Agreements.
Advise on management company legal and regulatory related issues and queries.
Drafting relevant commercial agreements and intercompany agreements.
Draft and negotiate distribution agreements with third-party distributors and advise on cross-border marketing rules as required.
Act as the primary point of contact with the Central Bank of Ireland and maintain and manage that relationship.
Instruct and manage external counsel relationship
Assist with board governance matters and attend and present at board meetings as required
Build and develop relationships with relevant internal and external stakeholders.
Ad hoc projects as required.
Key Skills & Qualifications:
Qualified lawyer. Minimum of 4 years’ relevant Funds PQE . My client will consider applicants up to 9 years’ relevant PQE experience from top tier practice or relevant industry experience.
Strong technical knowledge and understanding of relevant legal & regulatory requirements of the asset management industry. Experience of management companies, UCITS and AIFMD preferable
Experience liaising with the Central Bank of Ireland and knowledge of its relevant regulatory requirements.
Highly organised and proven ability to effectively manage time and prioritise workload.
Excellent communication skills and a proven ability to build & maintain relationships.
Strong team player but also highly self-motivated and works well on own initiative.
