An exciting new opportunity for a Funds Company Secretary within an Irish-based asset manager.
Responsibilities
Company Secretary
- Coordinate, schedule, attend and minute Board & Committee meetings
- Deal with all elements of collation, preparation and distribution of Board papers, draft minutes, matters arising, board resolutions
- Coordinate and ensure completion of statutory and regulatory filings, maintain statutory books and records (incl. B1 annual returns, beneficial ownership register and annual financial statements)
- Coordination & execution of legal agreements, sealing of documents and maintaining register of sealed documents and documents for ratification by the board
- Ensure timely signing of quarterly DP reports
- Arrange board training on matters such as AML, Cyber security, regulatory change, as required
Legal Assistant
- Creation, amendment and formatting of legal documents and templates
- Managing, filing, proof-reading and drafting documents and responses to legal & regulatory queries
- Assist in transaction management by tracking deadlines and outstanding matters
- Perform clerical tasks as needed, e.g. make copies, create folder labels, prepare document packages, write cover memos, spreadsheet maintenance, update materials, diary management etc.
- Provide administrative support to the General Counsel
Experience required
- ICSA qualification is advantageous but not an essential requirement
- 3-5 years experience within a funds legal setting
- Excellent organisational skills
- Strong attention to detail & proofing skills
